グリーンブラム＆バーンスティン法律事務所のポータルは、お客様の便宜のために提供されるものであり、お客様の権利として提供されるものではありません。
The Greenblum & Bernstein, P.L.C. (G&B) Portal is provided as a convenience to
our clients and not as a matter of right.

G&B ポータルにアクセスするには、ユーザー名とパスワードが必要です。ユーザー名とパスワードを取得されていない場合は、G&Bにご連絡下さい。お客様に提供されたパスワードはアクセス権のない第三者と共有できないものとします。お客様の会社・団体内でG&Bポータルのログイン情報とパスワードを（共同）使用される方は全て、ここに定められた利用規約に拘束されるものとします。G&Bは自由裁量にてお客様のG&Bポータル用ユーザー名またはパスワードを変更したり、またはお客様のアクセス権を取消す権利を持つものとします。
You must have a user name and password to access the G&B Portal. Please
contact G&B if you have not received your user name or password. The password
assigned to you is not to be shared or used by unauthorized third parties.
Anyone within your organization to whom you provide G&B Portal login and
password information is bound by the terms and conditions set forth herein. G&B
reserves the right to change client user names and/or passwords or to cancel
client access to the G&B Portal at its discretion.

お客様の当G&Bポータル利用規約への同意を以って、お客様の提出物をお受けすることとなります。G&Bは、お客様の提出物が法律的もしくはプロフェッショナルなコンフリクト（利益相反）を呈する、またはもたらす可能性がある場合には、コンフリクトを避けるために、お客様の提出物をお受けすることが出来ません。G&Bの既存の顧客でない新しいお客様に関しては、G&Bがコンフリクトの有無を確認し、お客様からの提出物を受諾するまでは、お客様とG&Bの間で代理人関係は発生しません。お客様とG&Bとの委任契約書にある如何なる条件も、明示的に当利用規約に包含されるものとします。
Acceptance of your submission is subject to your acceptance of the terms and conditions
set forth herein. Submissions that
may present or result in a legal or professional conflict of interest will not
be accepted by G&B and, as such, will not result in a legal or professional
conflict for G&B. For new clients, if you are not already a client of G&B, no
attorney-client relationship is formed until conflicts have been checked and
your submission is accepted by G&B. Any terms set forth in an engagement letter
between you and G&B are expressly incorporated herein. |

お客様が提出される全ての情報、書類はお客様の知る限り正確であるものとします。また、お客様の提出する情報、書類に不正確な内容または虚偽が含まれていた場合、お客様はそれらに起因するG&Bの法的責任を免除するものとします。また、G&Bは、お客様の提出物に不正確な内容または虚偽が含まれていた場合、またはそれに起因して訴訟・法律行為がおきた場合、お客様もしくは第三者に対し如何なる責任も負わないものとします。万一G&Bがお客様の提出物に含まれた誤記や不正確な記載を修正・訂正する場合には、お客様はそれにかかるプロフェッショナル費用並びに諸経費の全てを支払うことに同意するものとします。
You represent
that, to the best of your knowledge, all information and documents contained in
your submission are accurate
and that you release G&B from any and all liability that may
result from any inaccuracy or misrepresentation contained therein. G&B shall not be held responsible or
liable to you or any third parties for inaccuracies or misrepresentations
contained in your submission or any actions arising therefrom. If G&B takes any
action to correct any errors or inaccuracies contained in the submission, you
agree to pay all professional fees and disbursements associated therewith.

お客様の提出物に締切期限がある場合、お客様はかかる期限までに十分な時間（３営業日以上）があること、並びにかかる締切期限が過ぎていないことを表明するものとします。さらにお客様の提出物の締切期限を守るため、G&Bがお客様の提出物を緊急に扱う必要がある場合、お客様はG&Bに、E-メールもしくはファックスにて追加で通知するものとします。
In the event
that your submission relates to a deadline, you represent that there is
sufficient time remaining to comply with such deadline (not less than 3 business days) and that any
such deadline has not expired. Further,
you agree that in the event that your submission requires urgent attention in
order to comply with a deadline, you will send additional notification via email
or facsimile.

G&BはG&B ポータルの機能面について、中断や誤りなく機能すること、あるいは第三者によるハッキング、不正操作、妨害行為等がないことを一切保証いたしません。
G&B cannot and does not warrant that the functional aspects of the Portal will be
uninterrupted, error free or secure from hacking, tampering or intrusion by
third parties. |

7. |
お客様のG&B ポータルのご利用に際し、G&B ポータルを損傷し作動不能にし、またG&Bポータル、サーバー、およびネットワークを妨害する行為を禁ずるものとします。お客様は自己責任にてG&B ポータルをご利用されるものとし、G&Bポータルのアクセスまたは使用によって起きた如何なる損害についてもG&Bは責任を負わないものとします。
You are prohibited from using the G&B Portal to damage, disable, impair, or otherwise
interfere with the G&B Portal, servers or networks. Use of the G&B Portal is at your own
risk, and G&B shall not be liable for any damages arising out of your access to,
or use of, the G&B Portal. |

G&BはG&B ポータルが無断でアクセスされないよう最大の努力で安全措置を講じておりますが、如何なるシステムも完璧に安全ではありません。G&BはG&Bポータルのセキュリティに関して如何なる明言や明示的、暗示的保証をするものではなく、G&B ポータルのセキュリティ侵害に起因して起きた如何なる損害についても責任を負わないものとします。さらにG&Bは、G&Bポータルのサービスが常時利用可能であるという表明をいたしません。また、G&Bポータルは定期保守、サービスのアップグレードなどにより利用できなくなる可能性があります。
G&B will use its best efforts to make the G&B Portal secure from unauthorized access. However, no system is completely
secure and G&B makes no representation or express or implied warranty regarding
the security of the G&B Portal and shall not be liable for any damages arising
from any breach of security of the G&B Portal.
Further, G&B makes no representations that Portal service will be
available at any given time. In
addition, the G&B Portal may be unavailable due to scheduled maintenance,
service upgrades or other causes. |

G&B ポータル内の書式および資料は著作権で保護されたものであり、お客様はかかる書式や資料をG&Bが代理する事項のみに使用するものとします。お客様は、データを書式に入力することはできますが、書式に対しそれ以外の如何なる変更・修正もしないことに同意するものとします。
All forms and materials within the G&B Portal are copyrighted and you agree to
use these forms and materials only for matters in which you are represented by
G&B. You may input data into the forms; however you agree not to otherwise
change or modify any of these forms. |

10. |
G&Bは、ポータルを通じて入力された如何なるデータも吟味する権利を持つものとします。さらにG&Bは、G&Bポータルを通じて入力された如何なるデータも消去する権利を持つものとします。お客様がG&Bポータルを通じて入力されたデータが30日以内に提出されなかった場合、G&Bは、そのデータをそれ以降いつでも消去できる権利を持つものとします。
G&B reserves the right to review any data entered through the G&B Portal. G&B
further reserves the right to delete any data entered through the G&B Portal. In
the event you enter data through the G&B Portal but do not submit it within
thirty (30) days, G&B reserves the right to delete the data anytime thereafter. |

G&Bは、誤動作、天災、その他合理的に管理できる範囲を超える状況によってお客様の提出物の受理が遅れた、もしくは受理できなかった場合、その責任を負わないものとします。
G&B is not responsible for malfunctions, acts of God, or other circumstances beyond its
control that result in delay or failure of receipt of your submission. |
